1. Geltungsbereich
Die nachfolgenden allgemeinen Geschäftsbedingungen regeln die vertragliche Beziehung zwischen der goldengreen GmbH (im Folgenden goldengreen) und ihren Kunden.
Mit dem Abschluss eines Vertrages (z.B. durch Übermittlung einer Bestellung) akzeptiert der Kunde ausdrücklich die Geschäftsbedingungen von goldengreen als Vertragsbestandteil.
2. Leistungsübersicht goldengreen
goldengreen ist ein Handelsunternehmen und betreibt Einzel- und Grosshandel mit Produkten vor allem aus dem Lifestyle- und teils aus dem Gesundheitsmarkt.
Produkte und Dienstleistungen von goldengreen werden in den geltenden Broschüren beschrieben und können von goldengreen jederzeit geändert werden. Ebenfalls vorbehalten bleibt eine Ausdehnung des Leistungsangebots von goldengreen.
goldengreen steht gegenüber ihren Kunden für die sorgfältige und vertragsgemässe Erbringung der vereinbarten Leistungen ein.
3. Lieferung
3.1 Allgemeine Lieferfristen
Soweit für die bestellten Produkte und/oder Dienstleistungen eine Lieferung durch goldengreen vereinbart wurde, werden diese in der Regel so schnell wie möglich ausgeliefert. Ist ein Produkt und/oder eine Dienstleistung zum Zeitpunkt der Bestellung nicht verfügbar, so erhält der Kunde eine entsprechende Information.
3.2 Lieferung per Logistikpartner (z.B.: Post, DHL, GLS)
Bei einer Lieferung per Logistikpartner werden die Produkte, soweit verfügbar, innerhalb von zwei Arbeitstagen verschickt.
goldengreen hält sich im Übrigen an die geltenden gesetzlichen Regeln.
Lieferfristen verlängern sich entsprechend:
– wenn der Kunde Angaben, die goldengreen für die Ausführung benötigt, nicht rechtzeitig übermittelt oder wenn der Kunde die Angaben nachträglich ändert;
– wenn der Kunde mit den von ihm auszuführenden Arbeiten im Rückstand oder mit der Erfüllung seiner vertraglichen Pflichten im Verzug ist, insbesondere, wenn er Zahlungsbedingungen nicht einhält
– wenn Hindernisse auftreten, die ausserhalb der Verantwortung von goldengreen liegen wie Naturereignisse, Mobilmachung, Krieg, Aufruhr, Epidemien, Unfälle und Krankheit, erhebliche Betriebsstörungen, Arbeitskonflikte, verspätete oder fehlerhafte Zulieferungen sowie behördliche Massnahmen.
3.3 Teillieferungen
goldengreen kann Teillieferungen ausführen. Bei Verzögerungen hat der Kunde goldengreen eine angemessene Frist zur nachträglichen Erfüllung zu gewähren. Wird die Nachfrist nicht eingehalten und ist eine weitere Verzögerung für den Kunden unzumutbar, darf er, sofern er es innert drei Arbeitstagen seit Ablauf der Nachfrist mitteilt, die Aufhebung des Vertrages erklären.
3.4 Eigentumsvorbehalt
Die gelieferten Produkte bleiben bis zur vollständigen Bezahlung im Eigentum von goldengreen. goldengreen ist berechtigt, ihren Eigentumsvorbehalt beim zuständigen Eigentumsvorbehaltsregister eintragen zu lassen.
3.5 Lieferschein
Der Kunde erhält mit jeder Lieferung einen Lieferschein von Produkten, welcher über die gelieferte Ware, die Menge, den Preis sowie die Lieferkosten Auskunft gibt.
3.6 Lieferannahme
Der Kunde hat ausgelieferte Produkte und/oder Dienstleistungen unmittelbar nach dem Erhalt auf ihre Vollständigkeit und allfällige Mängel zu überprüfen. Beanstandungen sind innert 10 Tagen nach Lieferung schriftlich anzubringen. Andernfalls anerkennt der Kunde, dass die Lieferung vertragsgemäss erfolgte und Produkte und/oder Dienstleistungen einwandfrei waren.
3.7 Chargen- und Verfalldaten
Soweit goldengreen dem Kunden Chargen- und Verfalldaten übermittelt, so übernimmt goldengreen keinerlei Haftung für die Vollständig- und Richtigkeit dieser Angaben. Ausschlaggebend sind in jedem Fall ausschliesslich die konkreten Angaben auf der jeweiligen Packung.
4. Bestell- und Preissystem
4.1 Bestellsystem
Kunden können bei goldengreen entweder per Internet, telefonisch oder schriftlich (Brief) bestellen.
goldengreen bestätigt jeweils die Bestellung des Kunden, wobei keine Verpflichtung von goldengreen besteht, Bestellungen im Einzelfall anzunehmen. Mit dieser Bestätigung wird die Bestellung rechtsgültig.
Für das Bestellungen per Internet erstellt der Kunde bei goldengreen einen Kundenaccount und/oder ein Passwort. Bei Verlust kann der Kunde beim Kundendienst von goldengreen jederzeit ein neues Passwort anfordern sowie den elektronischen Bestellweg sperren lassen.
Der Kunde teilt seine Accountdaten und/oder sein Passwort nur an solche Personen mit, die zur Bestellung berechtigt sind. Der Kunde haftet für jede missbräuchliche Verwendung seiner Accountdaten und/oder seines Passwortes.
4.2 Preisbestimmung Die Fakturierung erfolgt zu den im Zeitpunkt der Bestellung aktuellen Preisen. Die Preise verstehen sich, falls nicht anders angegeben, in Schweizer Franken oder Euro. Der Kunde kann jederzeit über Internet auf der goldengreen Website die aktuellen Preise abrufen oder bei goldengreen anfragen. Publizierte Kataloge mit Produkten (Print, Internet etc.) dienen der Information und stellen keine verbindlichen Offerten dar. Sämtliche Preisangaben verstehen sich inklusive Mehrwertsteuer, jedoch ohne weiterer Abgaben.
4.3 Lieferkosten Die Lieferkosten sind in den Basispreisen nicht inbegriffen und werden zusätzlich in Rechnung gestellt.
4.4 Preisänderung goldengreen kann die Preise für Produkte und/oder Dienstleistungen sowie für Logistikdienstleistungen jederzeit und ohne Vorankündigung ändern.
5. Rechnungs- und Zahlungssystem 5.1 Rechnungsstellung (nur möglich für Grosshändler) goldengreen erstellt mindestens einmal pro Monat Rechnung für sämtliche gelieferten Produkte sowie die erbrachten Dienstleistungen. Der Kunde kann innert 10 Tagen begründet Einwände gegen die Rechnung erheben. Unterlässt er dies, gilt die Rechnung als akzeptiert. Mit Beendigung des Vertrages werden alle ausstehenden und noch nicht bereits fälligen Beträge fällig. Die Rechnungsbeträge sind innerhalb der vorgegebenen Zahlungsfristen in Schweizer Franken oder Euro zu bezahlen. Bei verspäteter Zahlung wird ein marktüblicher Verzugszins in Rechnung gestellt. Hat der Kunde bis zum Fälligkeitsdatum weder die Rechnung bezahlt noch schriftlich und begründet Einwände dagegen erhoben, kann goldengreen die Erbringung sämtlicher Leistungen ohne weitere Ankündigung unterbrechen, weitere Massnahmen zur Verhinderung wachsenden Schadens treffen, Sicherheiten wie Bankgarantien, Debitorenzessionen verlangen, Anträge des Kunden ablehnen und/oder den Vertrag frist- und entschädigungs- los auflösen. Der Kunde trägt sämtliche Kosten, die goldengreen durch den Zahlungsverzug entstehen, wie namentlich Administrativ- und Mahngebühren, Verzugszinsen, Anwalts- und Gerichtskosten. Der Kunde kann Gegenforderungen mit Forderungen von goldengreen ohne deren schriftliche Zustimmung nicht verrechnen.
5.2 Zahlung bei Käufen im Onlineshop Dem Kunde stehen die als Zahlungsmittel im Onlineshop unter „Zahlungsoptionen“ angebotenen Zahlungsmöglichkeiten zur Verfügung. Die aktuellen Zahlungsmittelgebühren, welche gegebenenfalls von goldengreen erhoben werden, sind unter „Zahlungsoptionen“ ersichtlich und werden im Bestellprozess detailliert ausgewiesen. Bei Zahlung mit Kreditkarte oder anderen Sofort-Zahlungsmitteln erfolgt die Belastung bei Bestellung. Kauf auf Rechnung mit Teilzahlungsoption (POWERPAY) MF Group / POWERPAY bietet in der Schweiz als externer Zahlungsdienstleister die Zahlungsart „Kauf auf Rechnung” an. Mit der Einzelrechnung können Sie Ihren Onlineeinkauf einfach per Rechnung begleichen. Sollten Sie auf eine Zahlung im vorgegebenen Zeitrahmen verzichten, erhalten Sie nachträglich im Folgemonat eine Monatsrechnung mit Bestellübersicht. 6.2 Übergang von Nutzen und Gefahr Liefert goldengreen die Produkte und/oder Dienstleistungen durch ein externes Transportunternehmen, so gehen Nutzen und Gefahr mit der Übergabe auf den Kunden über. Erfolgt die Lieferung durch einen Logistikpartner, so gehen Nutzen und Gefahr mit Übergabe an den Logistikpartner auf den Kunden über.
7. Gewährleistung bei technischen Produkten Bestand, Dauer und Inhalt der Gewährleistung für technische Produkte richten sich ausschliesslich, soweit nicht ausdrücklich etwas anderes vereinbart wurde, nach den Gewährleistungsvorschriften des Herstellers. Weitergehende Gewährleistungsansprüche sind ausgeschlossen, insbesondere auch für Mangelfolgeschäden. Ausgenommen von der Garantie sind in jedem Fall Schäden, die auf natürlichen Verschleiss, auf unsachgemässen Gebrauch und auf mangelnde oder falsche Pflege zurückzuführen sind.
8. Datenschutz
goldengreen kann im Sinne des Bundesdatenschutzgesetzes zur Abwicklung der Geschäftstätigkeit und zu den in diesen allgemeinen Geschäftsbedingungen genannten Zwecken kundenspezifische Daten wie bspw. Namen, Adresse und Bestelldaten erheben, speichern und bearbeiten.
goldengreen kann diese Daten auch zu Marketingzwecken für eigene Leistungen und für Leistungen Dritter verwenden. Der Kunde nimmt weiter zur Kenntnis, dass goldengreen Daten, welche ihre Geschäftstätigkeit betreffen (Bezugsdaten), an Dritte wie bspw. Hersteller der gelieferten Produkte in der Schweiz und (bei Fehlen angemessenen Datenschutzes im Empfängerstaat gestützt auf entsprechend vertragliche Vereinbarungen) auch weltweit veräussern kann. Als Gegenleistung für das Nutzungsrecht an den Daten erhält der Kunde eine Entschädigung, die anhand der gelieferten Datenmenge bemessen wird. Der Kunde kann dieser Daten- Weitergabe jederzeit widersprechen.
9. Änderungen der Allgemeinen Geschäftsbedingungen goldengreen behält sich vor, die Allgemeinen Geschäftsbedingungen jederzeit zu ändern.
10. Gerichtsstand und anwendbares Recht Auf die Rechtsgeschäfte zwischen goldengreen und ihren Kunden ist ausschliesslich schweizerisches Recht anwendbar. Zuständig sind die ordentlichen Gerichte am Sitz von goldengreen.
